Nelson Mullins serves as outside general counsel to private equity-backed companies in a variety of industries, in addition to serving as primary M&A counsel.

In the role of outside general counsel, we act as the trusted advisor handling legal matters critical to the success of portfolio companies. These include operational and commercial agreements, licensing, outsourcing and supply and distribution agreements, joint venture agreements, follow-on M&A deals, debt financings, tax matters, labor & employment agreements, employee benefits and executive compensation negotiations, intellectual property issues, real estate needs, and business litigation matters. Each client has a dedicated relationship partner who oversees all legal services and provides exceptional support, acting as a liaison between the client and the firm.

Often, our initial introduction to our portfolio company clients is in connection with an M&A transaction following a sponsor’s acquisition of a platform company, where our clients appreciate our top-notch services at an extraordinary value. In this role, our typical transactions involve enterprise values under $500 million.
